Modification of Terms & Conditions

Welcome to Serviceday. These Terms of Use (“Terms”) constitute a legally binding agreement between you and Serviceday. You may use our services through our website www.serviceday.in (“Website”) or our mobile application (“Serviceday App”) collectively referred as “Platform” throughout in the terms.

PLEASE READ THE TERMS CAREFULLY BEFORE AVAILING SERVICES ON THIS PLATFORM. IF YOU DO NOT AGREE WITH THE TERMS, PLEASE DO NOT ACCESS THIS PLATFORM FOR ANY SERVICES.

1. GENERAL
  1. These Terms, together with the Terms of Use, Privacy Policy, IPR Infringement Policy and any other terms, conditions, and policies specifically referred to on our platform, constitute a legally binding agreement between you and Serviceday (all such terms, policies, and conditions together shall be referred to as “Covenants”) in relation to your use of the platform.
  2. These Terms and Covenants are considered an electronic record under the provisions of the Information Technology Act, 2000 and Rules issued and/or amended from time to time. These Terms and Covenants are generated by a computer system and do not require physical or digital signatures.
  3. These Terms and Covenants are published in accordance with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011. These Terms should be interpreted in accordance with the applicable provisions of the Indian Evidence Act, 1872, The Indian Contract Act, 1872, Information Technology Act, 2000, Indian Copyright Act, 1957, and the Consumer Protection Act, 1986.
  4. You may access the platform only for personal use and as intended through the normal functionality of services available.
2. ACCEPTANCE OF TERMS
  1. By subscribing and/or registering on our website and/or Serviceday App, these Terms and Covenants become a binding agreement between you (“you” or “your”) and Atclicks Software & Telecom Solutions Pvt Ltd*, a company incorporated under the Companies Act, 1956 with its registered office at 6/23, Mullanthottiyil Kothanalloor P.O, Kottayam, Kerala – 686632 (“Serviceday,” “we,” “our,” or “us”), governing your use of the search services offered by Serviceday through its website and/or Serviceday App.
  2. *Serviceday is a registered trademark owned by Atclicks Software & Telecom Solutions Pvt Ltd, used for offering online intermediary services under the brand name Serviceday. Therefore, anywhere in the Terms & Covenants referring to Serviceday, it shall be construed as Atclicks Software & Telecom Solutions Pvt Ltd.
  3. Your consent at the time of registration and/or subscription and continued use of the Serviceday Platform constitutes your acceptance of and agreement to all Terms and Covenants, as well as any future amendments, revisions, or additions to these Terms and Covenants, which will be published on the platform from time to time without notice.
  4. If any future changes to these Terms and/or Covenants are unacceptable to you or cause non-compliance, you must deactivate your account and immediately stop using the Serviceday Platforms.
  5. We grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Serviceday platform, provided you comply with these Terms and Covenants.
  6. By using our platform, you confirm that you are of legal age (18 years or older) to form a binding contract and are not barred from receiving or providing services under any law in force in India or other applicable jurisdiction.
  7. You confirm that the information provided during registration is true, accurate, and complete, and you agree to update your Registration Data as necessary to keep it accurate and complete.
  8. If any information provided is untrue, inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect such inaccuracy, we reserve the right to suspend or terminate your account and refuse any and all current or future use of our platforms. Serviceday shall not be liable for any act or omission arising from inaccurate information provided by you.
  9. The Platform reserves the right to assign these Terms & Covenants and all rights and obligations to a successor to all or any of its assets, whether by sale, merger, or otherwise. You agree that these Terms and Covenants shall bind and benefit the parties and their representatives, heirs, administrators, successors, and permitted assigns.
  10. You agree that neither Serviceday, nor its parents, affiliates, or licensors—including their directors, officers, shareholders, agents, investors, subsidiaries, attorneys, representatives, insurers, employees, successors, and assigns (collectively referred to as “Affiliates”)—are responsible or liable for the conduct, acts, or omissions, whether online or offline, of any user of the Serviceday platform. To the extent permitted by law, you hereby release Serviceday and its Affiliates from any and all liability, claims, demands, or damages, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the Serviceday platform.
  11. You agree that it will be considered discriminatory and Serviceday may deactivate your account if any advertisements and/or content you publish includes:
    1. Advertising for a competitor (e.g., competitor advertisements, links to competitor websites, etc.)
    2. Content promoting or targeting sex, human trafficking, or illegal organ trade
    3. Content promoting a political party, program, position, or topic, or benefiting a specific religion
    4. Advertisements that do not contain genuine service requirements
    5. Content aimed solely at gathering information about quotes offered by service providers to share with competitors
3. DEFINITIONS

1. RequestAny data (including but not limited to information, sounds, photos, designs, etc.) submitted by a Client via the Serviceday Platform to request a service.2. ClientAny individual or legal entity registered on the Serviceday Platform who submits one or more requests for services. This refers to the service requester.3. Service ProviderAny individual or legal entity registered on the Serviceday Platform to offer services by publishing relevant data (such as information, photos, designs, etc.). Service Providers are independent business owners and operate as independent contractors to Clients — they are not employees, agents, partners, representatives, joint ventures, or franchisees of Serviceday.4. UserAny individual or legal entity using or providing services through the Serviceday Platform. Both Clients and Service Providers collectively fall under the definition of “User” or “Users.”5. Client AccountThe account created by a Client upon registration on the Serviceday Platform to access and use the services offered.6. Service Provider AccountThe account created by a Service Provider upon registration on the Serviceday Platform to access and offer services through the platform.

4. SCOPE OF SERVICES
  1. Serviceday operates as a web- and app-based online marketplace connecting Clients and Service Providers. When Users agree on service terms, they enter into a direct Service Agreement between themselves, independent of Serviceday (detailed in Section 8).
  2. Serviceday does not provide services directly nor does it employ Service Providers. The platform solely facilitates connections between Clients and independent Service Providers.
  3. Serviceday offers technical tools to enable Service Providers to create profiles, publish service information, and share quotes. Similarly, Clients can register, publish service requests, and connect with Service Providers.
  4. All content and information provided by Users belong to those respective Users. Serviceday holds no liability for inaccuracies or misrepresentations in the information provided by Clients or Service Providers.
  5. Any terms like “reliable,” “best rated,” or “background verified” associated with a Service Provider are based on Serviceday’s internal review criteria and do not constitute formal certification, guarantee, or endorsement by Serviceday. Clients are responsible for independently evaluating the credentials, reliability, and suitability of Service Providers.
  6. Serviceday is not responsible for the actual performance, behavior, communication, or quality of services provided by Users. Serviceday does not control the timing, legality, safety, or quality of services delivered by Service Providers.
5. SERVICE PROVIDER BACKGROUND CHECKS
  1. Serviceday may conduct a background check before a Service Provider’s account is approved. However, Serviceday cannot guarantee the accuracy, completeness, or reliability of such checks.
  2. Background checks are a precautionary measure and do not constitute Serviceday’s endorsement, warranty, or certification of the Service Provider’s qualifications, character, or fitness for any particular service.
6. USER REPRESENTATIONS AND WARRANTIES
  1. You have the legal authority and capacity to enter into these Terms & Covenants.
  2. You will comply with all applicable laws (including labor laws, tax laws, and industry regulations) during your engagement on the platform.
  3. You will only offer or request services in locations where the Serviceday Platform operates.
  4. You will honor your commitments to other Users, including clear communication and timely service delivery or acceptance.
  5. You will act professionally, responsibly, and in good faith during all interactions on the platform.
  6. You will provide accurate and up-to-date information during registration and service transactions and promptly update any changes.
  7. You will not use the platform for illegal activities, including but not limited to the purchase or delivery of alcohol, controlled substances, or prohibited services.
  8. If acting on behalf of an organization, you confirm that you have the authority to bind the organization to these Terms & Covenants.
  9. You do not have any undisclosed conflicts of interest, such as using the platform for investigative, journalistic, academic, or competitive research without informing Serviceday.
  10. You will protect confidential information obtained during service transactions, and only disclose such information if required by law.
  11. You are solely responsible for maintaining the confidentiality of your account credentials and any sensitive information shared on the platform.
  12. You acknowledge that Serviceday does not supervise, control, or monitor the actual performance of services and disclaims any responsibility for the quality, legality, or safety of services provided by Service Providers.
7. SERVICE PROVIDER ADDITIONAL REPRESENTATIONS & WARRANTIES
  1. You operate as an independent business entity (sole proprietor, partnership, LLP, corporation, etc.) and are not an employee, agent, or representative of Serviceday.
  2. You are regularly engaged in offering services similar to those listed on the Serviceday Platform and maintain an independent client base outside the platform.
  3. You have the unrestricted legal right to work in the relevant jurisdiction(s) where you will perform services.
  4. You have obtained all necessary licenses, permits, and registrations required to legally offer and perform the services you list on the platform.
  5. You maintain adequate insurance coverage (where applicable) to protect your business and clients from liabilities arising from your services.
  6. You will only offer services you are qualified and competent to perform, and will conduct your work in compliance with applicable laws and safety standards.
  7. You will not engage in any behavior that could harm Serviceday’s reputation, including making false claims, publishing misleading content, or engaging in defamatory activities.
  8. Serviceday reserves the right to deactivate your account permanently if you violate any of these warranties or engage in conduct detrimental to the platform, its Users, or its reputation.
8. CONTRACT BETWEEN CLIENTS AND SERVICE PROVIDERS

A legally binding contract (“Service Agreement”) forms directly between the Client and Service Provider once both parties agree to the terms of a service. The terms of the Service Agreement include the terms and covenants accepted on the Serviceday Platform and any additional contractual terms agreed between the Client and Service Provider. This does not expand Serviceday’s obligations. Serviceday is not a party to the Service Agreement and does not create any employment or service relationship between Serviceday and the Users. Service Providers may engage assistants, subcontractors, or helpers (“Service Provider Assistants”), but they must be registered with Serviceday Platform. Service Providers bear full responsibility for these assistants, including their actions, payments, and compliance with laws. Clients are responsible for verifying assistants’ registration.

9. CLIENT REPRESENTATIONS AND WARRANTIES

Clients may choose to be present during service delivery or appoint an authorized representative (“Client’s Agent”). Instructions from the Client’s Agent are considered binding. Clients must pay Service Providers in full through the Serviceday payment facility.

10. PAYMENT TERMS

Payments are processed through a Nodal Account, as per RBI guidelines. Clients must pay a basic fee at booking. Additional charges may apply based on actual service requirements. Payments made directly to the Service Provider (cash/electronic) without Serviceday’s involvement are at the Client’s own risk, and Serviceday takes no responsibility for such transactions. Serviceday deducts a service fee of [percentage]% from the total amount payable by the Client. Serviceday will remit payments to Service Providers within 7 working days, after deducting applicable service charges and taxes. Additional charges apply if: Extra working hours, equipment, or personnel are required to complete the service. Serviceday does not act as a trustee, financial institution, or NBFC — the payment facility is solely for facilitating transactions between Client and Service Provider. Serviceday may store payment data (excluding sensitive card/bank details) for transaction processing and compliance, including sharing with banks if required. Serviceday is not liable for any errors caused by incorrect data provided by Service Providers. Both Client and Service Provider indemnify Serviceday against any claims arising from their transactions. Serviceday may refuse transactions involving Users with a history of breaches or questionable conduct.

11. REFUND POLICY

Serviceday is not liable for non-performance, non-payment, or quality issues in services booked through the platform. Refunds will only be issued if a service was not provided, provided that the failure is reflected in the platform. Refunds will be processed within 7 working days if Serviceday is unable to arrange an alternate Service Provider. Serviceday is not responsible for delays or failures in processing transactions beyond its control.

12. PLATFORM USAGE

Users are responsible for safeguarding their account credentials and activity. Serviceday is not liable for losses caused by unauthorized account access. Users may review and update their personal information on the platform at any time. Serviceday may publicly display information provided by Users (excluding email addresses) to facilitate social networking among Users.

13. REGISTRATION

To use Serviceday, Users must create an account with their name, email or mobile number, and city of residence. Serviceday may validate contact details. Registration or use of Serviceday services implies acceptance of these terms. Cookies may be used to enhance user experience if the “remember me” option is selected.

14. INTERNET COMMUNICATION DATA

Standard internet logs (e.g., IP address, ISP details, device attributes, timestamps) are collected automatically for security and analytical purposes.

15. NEWSLETTER SUBSCRIPTIONS

Users may voluntarily subscribe to newsletters with their name and email address to receive updates on services and products offered by Serviceday.

16. Communications

We may record your calls to improve service quality and for other business purposes. By using our platform, you authorize Serviceday to record calls made to us regarding any services listed. These recordings may be deleted after 12 months.

17. Applicable Law & Dispute Resolution

Serviceday acts only as a platform to connect clients and service providers and is not responsible for service execution. In case of disputes between users, Serviceday is not required to intervene. By using the platform, you release Serviceday from any related claims. These Terms are governed by Indian law. Disputes must first try to be resolved through mediation. If unresolved within 30 days, they will go to arbitration under the Arbitration and Conciliation Act, 1996. Arbitration will be held in Ernakulam, Kerala, in English, with a sole arbitrator mutually appointed by both parties. Courts in Ernakulam will have exclusive jurisdiction over disputes involving Serviceday. Claims must be filed within one year of the cause of action, or they will not be entertained.

18. No Confidentiality

Any content you submit to Serviceday (like profiles, offers, feedback) may be shared with third parties. Serviceday does not guarantee confidentiality. Information you make searchable can be used by Serviceday for platform-related services. Serviceday is not bound by confidentiality obligations applicable to doctors, lawyers, or similar professionals. We may disclose your information if required by law, to protect our rights, enforce terms, prevent fraud, or resolve disputes.

19. Termination

Serviceday can modify, suspend, or permanently close the platform at any time without prior notice. We can also delete your account or block access if you violate these terms or remain inactive. You’ll be notified via email if a valid email was provided during registration. You can deactivate your account anytime through your profile settings. Upon termination, Serviceday may retain and use your data for analysis or record-keeping. If your account is terminated, you agree to indemnify Serviceday for any third-party claims resulting from the termination.

20. Disclaimer of Warranties & Indemnities

You use Serviceday at your own risk. Services are provided “as is” and “as available.” Serviceday makes no guarantees about the accuracy, reliability, or quality of listed services and content. We do not warrant that defects will be fixed or that the platform is free of harmful components. If you are unhappy with Serviceday, your only remedy is to stop using the platform. We strongly advise you to verify service providers yourself before using their services. You agree to indemnify Serviceday from claims, damages, or legal expenses arising from your use of the platform.

21. Limitation of Liability

You assume all risks of using the platform and its services. Serviceday is not liable for any direct, indirect, or consequential damages, including loss of data, profits, or business, caused by: Using the platform, Errors in content or service listings, Unauthorized access to your data, Viruses or harmful components, Service interruptions or failures, Disputes between users or with service providers. Our liability is limited to refunding any service fee you paid (if applicable). We are not responsible for external websites linked through Serviceday.

22. Force Majeure

Neither party will be liable for delays or failures caused by events beyond their control (natural disasters, war, strikes, regulatory actions, etc.). If such events last over 60 days, either party can terminate the agreement.

23. Notice

Serviceday can send notices via email, postal mail, or by posting updates on the platform.

24. Statute of Limitations

Any legal claim related to the platform must be filed within one year from when the issue occurred, or the claim will be permanently barred.

25. Section Headings

Headings in these terms are for convenience only and do not affect interpretation.

26. Entire Agreement

These terms are the complete agreement between you and Serviceday. They replace all prior agreements (written or oral). If any term is found invalid, the rest will still apply.
